An Alfred R. Mitchell signed Spring Morning painting leads a strong group of paintings and watercolors, joined by two Peter Briant watercolors depicting Marblehead Light and Spring Point Ledge Light, a lush river landscape and a rural landscape, both in gilt frames, a Derk Smit autumn woodland scene, and a Marilyn Bendell floral still life. Further signed works include a W. Jones harbor scene, a Betty Guy San Francisco watercolor, an H. Jones limited edition print, a set of Louise B. Hansen watercolor landscapes, and a signed W. Shattuck watercolor set, along with an L. Fendig original watercolor. Two 19th century hand colored satirical works, a Bohm cartoon collection by J. Gillray and an 1833 piece by C.J. Carved and handmade pieces include a signed Madame Pele wooden sculpture, a hand carved green serpentine ashtray, and a set of Anri Italian hand-carved bottle stoppers. A set of King Charles Staffordshire spaniel figurines, a mid-1800s leather family Bible, and a group of emerald green 1850s children’s books add further period interest, while a Gebruder Heubach German doll, wooden tabletop children’s games, and a Massim lime spatula bring ethnographic and folk variety. An 8-gallon stoneware crock and a run of utility stoneware pottery represent early American craft, and an early 20th century banjolele with training guides, a West-German Gloco wooden sled, a cast iron “Indiana” tractor seat, and a trio of FAO Schwarz store display pieces, including a toy soldier, a face clock, and a toy soldier display, round out the section. These Terms and Conditions of Sale (these “Terms”), together with the online catalog listing for each lot and any announcements or corrections posted or made before or during a sale (which supersede these Terms for that sale to the extent of any conflict), state the complete terms on which PADO Capital, LLC, t/d/b/a Blue Box Auction Gallery (“BBAG,” “we,” “us”) offers property for sale at auction. By registering to bid, or by placing a bid in any manner, you accept these Terms and they become a binding contract between you and BBAG and, where applicable, the seller of the lot.
PLEASE READ THESE TERMS IN FULL BEFORE BIDDING. THEY INCLUDE AN AS-IS SALE PROVISION, LIMITATIONS OF LIABILITY, A CLASS-ACTION WAIVER, AND A BINDING ARBITRATION PROVISION THAT AFFECT YOUR LEGAL RIGHTS.
In these Terms, “BBAG” includes Blue Box Auction Gallery and its owners, officers, directors, members, managers, employees, contractors, agents, and affiliates.
1. Definitions

Lot: an item or group of items offered for sale as a single unit.

Hammer price: the amount of the highest accepted bid for a lot.

Buyer’s premium: the charge the buyer pays BBAG in addition to the hammer price, as set out in Section 7.

Purchase price: the hammer price, plus the buyer’s premium, plus any applicable taxes, plus any shipping, handling, storage, or other charges due under these Terms.

Reserve: the confidential minimum price below which a lot will not be sold.

Registered bidder: a person or entity whose registration BBAG has approved and to whom a bidder number or online bidding credential has been issued.
-
Seller: the owner of the lot, which may be a consignor for whom BBAG acts as agent or, in some cases, BBAG itself.
2. Our Role
BBAG ordinarily acts as agent for the seller. The contract of sale for each lot is between the buyer and the seller; BBAG gives the undertakings stated in these Terms directly. Bidders acknowledge that BBAG may from time to time offer property that BBAG owns in whole or in part, in which case BBAG is the seller, and that any lot in any sale may be BBAG-owned property. BBAG will make a good-faith effort to identify BBAG-owned lots in the catalog listing, and this paragraph constitutes notice to all bidders for all lots; the absence of a per-lot identification is not grounds for cancellation or avoidance of a sale.
3. Registration and Eligibility
(a) Eligibility. You must be at least 18 years old and able to form a binding contract to register or bid.
(b) Identification. All bidders must complete registration and provide the identification BBAG requests. BBAG may require government-issued photo identification, proof of address, bank or trade references, a valid credit card, and, for entities, formation documents and confirmation of beneficial ownership. BBAG may decline any registration, or condition it, in BBAG’s sole discretion.
(c) Deposits. BBAG may require a bidder’s deposit at registration or as a condition of bidding on designated lots. A winning bidder’s deposit is applied to the purchase price; all other deposits are returned promptly after the auction closes.
(d) Anti-money-laundering and sanctions. By registering, you represent that funds used for payment are not the proceeds of unlawful activity; that you are not the subject of sanctions administered by the U.S. Treasury Department’s Office of Foreign Assets Control or any equivalent authority; and, if you bid for another person, that you have performed appropriate due diligence on that person and will identify them to BBAG on request. BBAG may cancel any sale where it reasonably believes completing the transaction may be unlawful or expose BBAG or the seller to liability or reputational harm.
(e) Responsibility for your credentials. You are responsible for all bids placed under your bidder number or account, whether or not authorized by you, unless you notified BBAG that your credential was lost, stolen, or compromised before the bid was placed. Absent clerical error, BBAG’s record of bids against a bidder number is conclusive.
(f) Entity bidders; personal guarantee. A person who registers or bids on behalf of an entity represents that they are authorized to bind the entity and personally, unconditionally guarantees payment of all amounts the entity owes under these Terms.
(g) Agents. A person who bids as agent for another is personally liable for the purchase price and all obligations under these Terms unless BBAG agreed in writing before the sale to look solely to a disclosed principal.
4. Condition of Property; Inspection; As-Is Sale
(a) As-is, where-is. Every lot is sold “AS IS, WHERE IS, WITH ALL FAULTS,” in its condition at the time of sale, including hidden or latent defects. Except for the warranty of title in Section 4(b), neither BBAG nor the seller makes any representation or warranty of any kind — express or implied — regarding any lot, including as to condition, quality, rarity, importance, provenance, attribution, authorship, authenticity, origin, date, age, size, medium, genuineness, working order, completeness, fitness for a particular purpose, or merchantability, all of which are expressly disclaimed to the fullest extent permitted by law. No employee or agent of BBAG is authorized to make any such warranty orally or in writing.
(b) Title. The seller warrants that the seller owns the lot, or is authorized by the owner to sell it, and can transfer ownership to the buyer free of undisclosed liens, claims, and encumbrances. This is the only warranty of title made in connection with any sale.
(c) Inspection. You are responsible for inspecting each lot, or arranging inspection, before bidding, and for asking any questions you have before you bid. By bidding you confirm that you have examined the lot as fully as you wish, or have knowingly waived inspection, and that you are relying solely on your own examination and judgment in deciding whether and how much to bid. If certainty about any aspect of a lot matters to you and your evaluation leaves doubt, do not bid on that lot.
(d) Condition reports and images. Condition reports and photographs are provided free of charge as a courtesy and reflect BBAG’s opinion at the time prepared. They may not identify every fault, restoration, alteration, or defect, and colors and details may render differently on screens. A reference to condition, or the absence of one, in a listing or condition report is not a complete description of condition and is not a warranty. Condition reports are not a substitute for your own inspection or professional advice.
5. Descriptions, Estimates, and Cataloguing Standards
(a) Descriptions are opinion. Catalog descriptions and any oral or written statement about a lot — including nature, condition, artist, maker, period, materials, dimensions, weight, and provenance — are statements of BBAG’s opinion, offered as a convenience, and are not statements of fact or warranties. Dimensions and weights are approximate.
(b) Estimates. Estimates reflect BBAG’s opinion based on the lot’s condition, rarity, quality, and provenance and on prices realized at auction for comparable property. Estimates are opinions, not predictions or guarantees of the selling price or of value for any other purpose (including insurance or replacement value), may change, and do not include the buyer’s premium or taxes. No third-party appraisal or estimate that differs from a realized price is grounds for cancellation, return, or refund.
(c) Cataloguing vocabulary. BBAG uses the following standard auction-trade conventions in descriptions of works of art and similar property. A work described with an artist’s or maker’s name without qualification is, in BBAG’s opinion, a work by that artist or maker in whole or in part. Qualified terms mean, in BBAG’s opinion: “Attributed to” — probably a work by the artist, in whole or in part; “Studio of” / “Workshop of” — executed in the artist’s studio or workshop, possibly under supervision; “Circle of” — a work of the artist’s period showing the artist’s influence; “Follower of” — executed in the artist’s style, not necessarily by a pupil; “Manner of” — executed in the artist’s style but of a later date; “After” — a copy of any date of a work of the artist; “Signed” / “Dated” / “Inscribed” — signed, dated, or inscribed by the artist; “With signature” / “With date” / “With inscription” — the signature, date, or inscription appears to be by another hand. Descriptions using qualified terms are statements of qualified opinion only.
6. Bidding
(a) Bids are irrevocable offers. Every bid is an irrevocable offer to purchase the lot under these Terms. Bids may not be amended, retracted, or canceled once placed. A bid placed by mistake, or by a person you allowed to access your account or credential, is binding on you.
(b) The successful bidder. The successful bidder is the highest bidder acknowledged by BBAG at the fall of the hammer, by other customary means, or on expiration of time in a timed online auction. In the event of a dispute between bidders, or doubt about the validity of any bid, BBAG may determine the successful bidder or re-offer and resell the lot, in its sole discretion, whether during or after the sale. If a lot is declared sold by clerical or auctioneer error, BBAG may cancel the sale and re-offer the lot. BBAG’s record of the sale is conclusive absent clerical error.
(c) Bidding increments; timed-auction extensions. Bidding advances in increments published on the bidding platform, which BBAG may adjust. In timed online auctions, bids placed near a lot’s scheduled close may extend that lot’s close in accordance with the platform’s posted extension (“soft close”) rules, and lots may therefore close out of numerical order.
(d) Absentee, phone, and pre-auction bids. Where offered, absentee, telephone, and pre-auction bids are accepted as a free convenience, subject to these Terms and to any eligibility or documentation requirements BBAG sets. BBAG will exercise reasonable care in executing them but is not liable for failing to execute any such bid or for errors in execution. Where competing bids are equal, the first received has priority. Pre-auction offers, where invited, may be presented to the seller, who may accept, reject, or direct that the lot proceed to auction.
(e) BBAG’s discretion. BBAG may in its sole discretion reject or revoke any bid, refuse or revoke any registration, withdraw, divide, or combine any lot before or during a sale, delay, extend, reschedule, or cancel a sale in whole or part, and exclude any person from bidding or attendance, all without liability.
(f) Employee bidding. BBAG employees may bid only in accordance with BBAG policy, on the same terms as all other bidders, and with no advantage over any other bidder.
(g) Technology failures. BBAG is not responsible for errors or failures in executing, recognizing, or recording bids caused by internet connectivity, hardware, software, or platform failures on any side, and may continue, suspend, extend, or close a sale affected by such failures. Where BBAG uses a third-party bidding platform, BBAG is not liable for the platform provider’s acts, omissions, or failures.
7. Buyer’s Premium and Fees
A non-refundable buyer’s premium is added to the hammer price of each lot: for example 20% for bids placed through BBAG’s own bidding platform or in the room, and 25% for bids placed through third-party platforms (such as LiveAuctioneers, Invaluable, or HiBid). The catalog listing for a sale states any per-lot administrative or other fees. The buyer’s premium is calculated before taxes, is earned in full at the fall of the hammer, and may vary by auction as posted in the sale listing or by announcement.
8. Reserves and Bidding on the Seller’s Behalf
(a) Unless a lot is announced or cataloged as sold without reserve (“absolute”), lots may be subject to a confidential reserve.
(b) To protect the reserve, the auctioneer may open bidding below the reserve and may place successive or responsive bids on the seller’s behalf up to the reserve. No consignor may bid on their own property except as permitted by law.
(c) Where a party with a direct interest in a lot — such as a beneficiary of a consigning estate or a co-owner — may bid, BBAG will make a good faith attempt to disclose that possibility in the listing or by announcement. Any such party who buys pays the full buyer’s premium and all other charges.
(d) Where authorized by the seller or the applicable consignment agreement, BBAG may reduce a reserve at any time before or during the sale, without notice to bidders.
9. Taxes
The buyer is responsible for all applicable sales, use, or similar taxes on the hammer price, buyer’s premium, and other charges. BBAG collects and remits sales tax where required by law; purchases through third-party marketplace platforms may have tax collected by the platform as a marketplace facilitator. Buyers claiming a resale or other exemption must provide valid documentation acceptable to BBAG before the lot is released.
10. Payment
(a) When due. The full purchase price is due upon the close of the auction and, unless a different deadline is stated in the sale listing, no later than 48 hours after the invoice is issued.
(b) Accepted methods. BBAG accepts cash (in person), Visa, MasterCard, Discover, American Express, wire transfer, ACH, and certified or cashier’s checks. PayPal is not accepted. Invoices over $1,000 must be paid by wire transfer, ACH, cash, or certified funds; credit and debit cards are not accepted above that amount, except as provided in Section 10(c).
(c) Card on file. By registering for an online auction with a credit card, you authorize BBAG to charge that card for your invoice total up to the card-payment threshold in Section 10(b). For invoices above the threshold, BBAG will issue payment instructions rather than charge the card. If the buyer fails to pay by the deadline in Section 10(a), BBAG may, as a remedy for nonpayment, charge the card on file for the invoice total, and the buyer expressly authorizes such charge.
(d) Payment only from the registered bidder. BBAG accepts payment only from the registered bidder of record. Invoices will not be reissued in a different name, and payment from third parties is not accepted.
(e) Application of payments; setoff. BBAG may apply any payment received, including deposits, to any lot or obligation of the buyer as BBAG determines, and may set off amounts owed to the buyer against amounts the buyer owes BBAG.
(f) BBAG may hold any purchase until payment has cleared to BBAG’s satisfaction.
11. Passage of Title and Risk
(a) Risk passes at the hammer. On the fall of the hammer (or the customary equivalent, or expiration of time in an online auction), full risk of and responsibility for the lot — including insurance, fire, theft, loss, damage from any cause, removal, and storage — passes to the successful bidder.
(b) Title passes on payment. Ownership of the lot passes to the buyer only when BBAG has received the full purchase price in cleared, undisputed funds and the buyer has satisfied all registration and identification requirements — even if the lot has been released or delivered earlier. Until title passes, the buyer holds no ownership interest in the lot, and BBAG may recover, retain, or resell the lot in the event of nonpayment or a payment dispute.
12. Pickup, Storage, and Abandonment
(a) Pickup window. Purchased lots must be removed, or shipping must be arranged, within 3 business days after the auction closes unless the sale listing states otherwise. Contact our office regarding pickup logistics; order fulfillment may take place at a separate secure location.
(b) Storage charges. Lots not removed (and for which shipping has not been arranged) within 7 business days after the auction may be charged storage of $20 per lot per day and may be moved to offsite storage at the buyer’s expense and risk.
(c) Abandonment. Lots not removed within 60 days after the auction may be deemed abandoned. Before disposition, BBAG will send written notice demanding removal, by email and by certified mail to the buyer’s address on file, at least fourteen (14) days before the date of sale. If the lot is not removed by the stated deadline, the buyer authorizes BBAG, as the buyer’s agent and in enforcement of its lien for unpaid storage and other charges, to sell the lot at public auction for the buyer’s account, or to otherwise enforce its lien in the manner provided by Virginia law. Sale proceeds will be applied first to amounts the buyer owes BBAG (including storage, sale costs, and commissions at BBAG’s regular rates), and any surplus will be paid to the buyer within thirty (30) days of the sale. Lots of nominal value that fail to sell at public auction may be donated or discarded.
13. Shipping
(a) Shipping is the buyer’s responsibility. BBAG offers in-house and third-party shipping options worldwide; packing, shipping, handling, and insurance are at the buyer’s expense, and estimates are available on request.
(b) Once a lot is transferred to a carrier, claims for loss or damage in transit are governed by the carrier’s or insurer’s claims process. BBAG will reasonably assist with claims for shipments it arranged but is not liable for the acts, omissions, delays, or losses of any carrier or third-party packer.
(c) Delivery after a date desired or expected by the buyer, or loss or damage by a carrier, is not grounds for cancellation, refund, or any payment dispute against BBAG.
(d) International buyers are responsible for all import duties, VAT, tariffs, brokerage, and clearance charges, for determining whether a lot may lawfully be imported into their jurisdiction, and for any required permits or licenses. Inability to export or import a lot, or a delay in permits, does not excuse or delay payment.
14. Returns
(a) Auctions are not on approval. Except as stated in this Section, all sales are final and no lot may be returned or adjusted. Bid only after satisfying yourself about a lot.
(b) Certified and graded property. Coins, currency, cards, and other property certified by a third-party grading or authentication service are sold on the basis of the service’s determination and may never be returned because of a difference of opinion about grade or condition. No guarantee of grade is made for uncertified property later submitted to a grading service.
(c) Gross cataloging error. In extremely limited circumstances, a buyer who did not inspect the lot in person before the sale may request that BBAG evaluate voiding a sale for a gross cataloging error. The request must be made in writing within three (3) calendar days of the buyer’s receipt of the lot, must describe the alleged error in detail, and return of the lot must be pre-approved by BBAG and completed, at the buyer’s expense, within 30 days of the auction, with the lot intact in its original holder and condition. Grading disputes do not qualify. After the 30-day period, no lot may be returned for any reason whatsoever. Lots purchased by floor bidders or their agents may not be returned under this subsection.
(d) Discretionary refunds. If BBAG in its sole discretion agrees to any return or refund not required by these Terms, the buyer remains responsible for a restocking fee of 15% of the hammer price, the full buyer’s premium (which is never refundable), and all shipping and handling costs in both directions.
15. Nonpayment and Default
(a) If the buyer fails to pay the purchase price when due, or initiates a payment reversal in breach of Section 16, the buyer is in default, and BBAG may exercise any of the following remedies, in addition to any others available by law, except that BBAG must elect either remedy (i) or remedy (ii) with respect to a given lot, not both:
(i) Resale for the buyer’s account. Cancel the sale and resell the lot publicly or privately, with or without reserve. The defaulting buyer is liable for any deficiency between the original purchase price and the net resale proceeds, plus BBAG’s commissions on both sales at its regular rates, handling, storage, and sale expenses, reasonable attorney’s fees, and costs; or
(ii) Liquidated damages. Cancel the sale and retain, or recover from the buyer, liquidated damages of 25% of the hammer price of the defaulted lot(s). The parties agree that BBAG’s actual damages from a buyer’s default — including lost commissions from both buyer and seller, remarketing costs, staleness of re-offered property, and administrative burden — are difficult to estimate at the time of bidding and that this amount is a reasonable pre-estimate of them, not a penalty.
(b) In all cases of default, BBAG may also: charge a late charge of 1.5% per month (or the highest rate permitted by applicable law, whichever is less) on unpaid amounts from the due date; hold the buyer liable for reasonable attorney’s fees and collection costs; reject the buyer’s future bids or condition them on deposits; report the default to credit and collection agencies; suspend or terminate the buyer’s accounts; and pursue any claim in accordance with Section 20.
(c) Security interest. As security for full payment, the buyer grants BBAG a security interest in the purchased lot(s) and in any other property of the buyer in BBAG’s possession. Upon default, BBAG may, after giving any legally required notice, sell such property in a commercially reasonable manner and apply the proceeds to the buyer’s obligations, remitting any surplus to the buyer as required by law. BBAG may retain the buyer’s property in its possession until all amounts owed are paid.
16. Payment Disputes and Chargebacks
(a) The buyer agrees that the exclusive means of resolving any dispute with BBAG is the process in Section 20, and agrees not to initiate a chargeback, payment reversal, or dispute with any card issuer, bank, payment processor, or online marketplace concerning any charge under these Terms — including disputes premised on delivery timing, carrier loss or damage, condition, grading, attribution, or remorse — all of which are governed by Sections 4, 5, 13, and 14.
(b) Initiating a chargeback or payment reversal in violation of this Section is a material breach of these Terms. In any proceeding under Section 20 arising from such a breach, BBAG is entitled to recover the disputed amount, its actual administrative and processing costs, and its reasonable attorney’s fees and arbitration costs, in addition to any other remedy under Section 15.
(c) Nothing in this Section limits any non-waivable right the buyer may have under applicable law; it allocates responsibility between the parties for the costs and consequences of payment disputes initiated in breach of this agreement.
17. Firearms and Regulated Property
(a) Firearms. Firearms are sold in compliance with all federal, state, and local law. Modern firearms will be transferred only through a Federal Firearms Licensee (“FFL”), with completion of all required forms and background checks. The buyer represents that they are not prohibited from purchasing or possessing firearms and is responsible for the legality of the purchase in the buyer’s jurisdiction and for all FFL transfer fees. Failure or refusal of a background check, or the buyer’s ineligibility, does not excuse payment obligations except as required by law.
(b) Endangered and regulated materials. Lots may contain materials — such as elephant ivory, tortoiseshell, coral, rosewood, or other wildlife or plant material — whose sale, purchase, interstate transport, export, or import is restricted by federal law (including the Endangered Species Act and CITES) or by state law. Where known, BBAG notes such material in the listing, but the buyer is solely responsible for confirming that the buyer may lawfully purchase, receive, transport, and possess the lot in the buyer’s jurisdiction and for obtaining any required permits. Inability to obtain a permit, or seizure by an authority, does not excuse payment and is not grounds for cancellation or refund. BBAG is not responsible for errors or omissions in identifying such materials.
18. Intellectual Property; Privacy
(a) BBAG owns the copyright in all catalog text, photographs, and other content it creates. Bidders may not reproduce or use them without BBAG’s written permission. Purchase of a lot does not transfer any copyright or reproduction right in the underlying work.
(b) BBAG collects and uses personal information in accordance with its Privacy Policy, available at www.BlueBoxAuction.com, and shares information with bidding platforms, payment processors, and shippers as needed to run its auctions and fulfill purchases.
19. Limitation of Liability; Indemnity; Force Majeure
(a) BBAG’s total liability to any bidder or buyer for any claim arising out of or relating to a lot, a sale, or these Terms — whether in contract, tort, negligence, strict liability, or otherwise — will not exceed the purchase price actually paid by the buyer for the lot concerned. If BBAG is prevented by fire, theft, or any other cause from delivering property, its liability is limited to the amount actually paid for that property.
(b) In no event will BBAG be liable for special, indirect, incidental, consequential, punitive, or exemplary damages of any kind, including loss of profits, revenue, opportunity, or the cost of obtaining substitute property, even if advised of the possibility. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for BBAG’s own fraud or willful misconduct.
(c) Except for claims arising from BBAG’s fraud or willful misconduct, the buyer releases BBAG and the seller from, and will indemnify and hold them harmless against, all claims, demands, damages, costs, and expenses, known or unknown, arising out of or connected with any lot purchased, its condition or defects (latent or otherwise), or any law or regulation applicable to it.
(d) Neither BBAG nor the seller is responsible for failure to perform caused by circumstances beyond its reasonable control, including fire, flood, natural disaster, war, terrorism, civil unrest, epidemic, labor disturbance, utility or internet failure, or governmental action.
20. Governing Law; Arbitration; Class Waiver
(a) Governing law. These Terms and every sale under them are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules.
(b) Binding arbitration. Except as provided in (d) and (e), any dispute, claim, or controversy arising out of or relating to these Terms, any bid, any sale, or any lot will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Arbitration Rules for business-to-business disputes), before a single neutral arbitrator appointed under those rules. The seat of arbitration is Norfolk, Virginia; where the applicable rules permit, proceedings may be conducted by document submission or videoconference. The Federal Arbitration Act governs this provision. Fees and costs are allocated under the applicable AAA rules, and the arbitrator may award the prevailing party its reasonable attorney’s fees and costs where these Terms or applicable law provide for them. The arbitration and its result are confidential except as needed to confirm or enforce the award or as required by law. Judgment on the award may be entered in any court of competent jurisdiction. Before initiating arbitration, the party asserting a claim must send the other party a written notice describing the claim and the relief sought, and the parties will attempt in good faith to resolve the claim informally for thirty (30) days after the notice is sent; arbitration may be commenced only after that period ends. To the extent permitted by the applicable rules and law, the arbitrator may award sanctions, including fees and costs, against a party whose claim or defense is found to be frivolous or brought for an improper purpose.
(c) Class-action and jury waiver. All disputes will be arbitrated or litigated on an individual basis only. NEITHER PARTY MAY PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST THE OTHER, AND EACH PARTY WAIVES TRIAL BY JURY. If the class waiver is held unenforceable as to a particular claim, that claim (and only that claim) proceeds in court in Norfolk, Virginia.
(d) Small-claims carve-out. Any claim within the jurisdictional limit of the small claims division of the Virginia General District Court (currently $5,000) must be brought in that court in Norfolk, Virginia, on an individual basis, rather than in arbitration, unless both parties agree otherwise. This subsection does not limit BBAG’s rights under subsection (e).
(e) BBAG collection actions. BBAG may, at its option, bring an action in any court of competent jurisdiction to collect amounts a buyer owes, to enforce its security interest, to recover possession of property, or to seek injunctive relief, instead of arbitration.
21. General Provisions
(a) Severability. If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to be enforceable or, if it cannot be, severed, and the remainder will remain in effect.
(b) No waiver. BBAG’s failure or delay in exercising any right is not a waiver of it, and no single or partial exercise precludes further exercise.
(c) No assignment. You may not assign your rights or obligations under these Terms without BBAG’s written consent. These Terms bind your successors, estate, and permitted assigns.
(d) Entire agreement. These Terms, the sale listing, and posted or announced sale-specific conditions are the entire agreement between you and BBAG regarding the sale and supersede prior discussions. Sale-time announcements control over the catalog and these Terms for that sale.
(e) Amendments. BBAG may update these Terms from time to time; the version in effect at the time of a sale, together with that sale’s announcements, governs that sale.
(f) Survival. Sections concerning payment, title, default, disputes, releases, and limitations of liability survive completion or cancellation of any sale.
(g) Headings. Headings are for convenience and do not affect interpretation.
(h) Notices. Unless these Terms expressly require another method, BBAG may give any notice under these Terms by email to the address associated with the buyer’s registration, and such notice is effective when sent. It is the buyer’s responsibility to keep registration contact information current.
